Terms of Service

By signing this agreement, you ("Client") agree to retain Jacqui Smith of WhiteSpace Design Studio. ("Service Provider") to proceed with support services for coaching and mentoring, packaged under VIP Grow Support, and agree to the terms and conditions as set forth in this Agreement.

Timeline : Work will be performed at the offices of Service Provider, but occasionally may take place at other locations, as required. Work priority and scheduling will be at the discretion of Client. Work will normally occur between the hours of 9am - 4pm AEST on weekdays.

Scope : During the support, Service Provider agrees to be available every business day (excluding public holidays), Monday to Friday, AEST. Client can message Service Provider anytime via the Voxer app, and Service Provider will check messages and answer Client questions once a day. Projects are managed via the Trello app to track progress. Lessons with prep work to achieve Client objectives and goals as outlined in Client VIP Fresh Report will be added as required to Clients MemberVault portal.

Additional Services : Client is responsible for setting up their own access with the Voxer and Trello apps. The free version is suitable. If Client wants to keep a copy of the correspondence then the Voxer Pro paid version will be needed. This support does not cover design, branding, tech or website work. If the Client has additional work that needs to be performed, Client will have the option to book VIP Design Days to have those projects completed. VIP Grow clients have access to special reduced rate of 20% and priority scheduling via a coupon.

Reviews : Client also has available one review per week. Service Provider will review one submission each Friday and send Client a video or voice message reply.

Support : During the support, Client is responsible for completing prep work and taking action to achieve their objectives and goals as outlined in Client VIP Fresh Report, and reaching out for support when required. Guidance is offered when needed, final decisions will be made by Client. 

Payment Schedule : Payment for these services will be to Service Provider at the rate of $300USD | $400AUD per month and will be commence at the time of booking this service. Client may choose to cancel anytime before the next monthly payment with 7 days prior written notice. There are no lock in contracts and payments are non refundable on the fees already paid. There are limited spaces, so when Client cancels and wants to rejoin, they will join a waitlist for the next available space.

Additional Work : Zoom calls are available upon request and attract an additional fee of $100USD | $130AUD per hour. Any expenses exclusive of normal overhead are not included in this agreement and will be billed separately. Examples of such expenses are: stock images, premium font licenses, website plugins, and 3rd party application services.

Ownership : The results of any and all work performed by Service Provider for Client are owned by the Service Provider and copyright is transferred to Client after completed payment is paid in full for the project. Client may use this material in any way deemed appropriate. Copyright to client supplied text and images are retained by Client and will not be disclosed or reused by Service Provider unless permission is granted in writing. Copyright to scripts, coding or other elements not created by the Service Provider are retained by the respective owner.

Client understands that any written statements, images, audio recordings or video recordings of Client while participating in the intensive and made on behalf of the Service Provider may be used in connection with publicising and promoting the Service Provider. Client authorises the Service Provider to use their name, brief biographical information, and the written or recorded statements. Client agrees that the Service Provider can include site credit with external link on the bottom of the website pages. The Client also agrees to allow the Service Provider to include the project in the Service Provider's portfolio and marketing materials.

Limited Liability : Client agrees that any material submitted for publication will not contain anything leading to an abusive or unethical use of the Web Hosting Service, the Host Server or the Developer. Abusive and unethical materials and uses include, but are not limited to, pornography, obscenity, nudity, violations of privacy, computer viruses, harassment, any illegal activity, spamming, advocacy of an illegal activity, and any infringement of privacy. Client hereby agrees to indemnify and hold harmless the Service Provider from any claim resulting from the Client's publication of material or use of those materials. It is also understood that the Service Provider will not publish information over the Internet which may be used by another party to harm another.

Modification : The client has the right to modify the decisions or plan outlined in the VIP Fresh Report at any time as needed, at the risk of damages or delays to functionality or timeline. If modifications are made to the strategy, planning or design after completion and service is needed from the Service Provider the Client must book an additional VIP Fresh Session to cover the fixes. 

By paying the first month fee I confirm that I have read and agree to the terms above.
